1. Acceptance of Terms

By accessing or using the Adjuria website at adjuria.com or engaging Adjuria, LLC ("Adjuria," "we," "us," or "our") for any services, you ("Client" or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our website or services.

We reserve the right to modify these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.

2. Services Description

Adjuria provides AI strategy consulting, implementation consulting, and proprietary technology products including AI Associate, a private, customizable AI assistant platform for legal and professional services firms. Specific scope, deliverables, and pricing for professional services engagements are defined in separate Statements of Work or Service Agreements.

We reserve the right to modify, suspend, or discontinue any aspect of our services or technology products at any time with reasonable notice to active clients.

3. User Responsibilities

By using our website or services, you agree to:

  • Provide accurate, current, and complete information when requested;
  • Use our website and services only for lawful purposes and in compliance with applicable laws and regulations;
  • Not attempt to gain unauthorized access to any portion of our systems or services;
  • Not use our services to transmit unsolicited communications, malicious code, or any content that is unlawful, defamatory, or infringing;
  • Maintain the confidentiality of any credentials or access keys provided to you.

4. Intellectual Property

All content on the Adjuria website, including text, graphics, logos, software, and proprietary methodologies, is the property of Adjuria, LLC or its licensors and is protected by applicable intellectual property laws.

Deliverables produced under a professional services engagement are governed by the intellectual property provisions in the applicable Statement of Work. Unless explicitly agreed otherwise in writing, Adjuria retains ownership of all methodologies, frameworks, tools, and pre-existing intellectual property used to deliver services.

Nothing in these Terms grants you any license to use the Adjuria name, logos, or trademarks without prior written consent.

5. Confidentiality

Each party agrees to hold in confidence any non-public, proprietary, or confidential information disclosed by the other party in connection with the services ("Confidential Information"). Confidential Information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law or to the extent necessary to deliver the agreed services.

This obligation survives the termination of any engagement for a period of three (3) years, or indefinitely for trade secrets.

6. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.

AI-generated outputs, recommendations, and analyses provided through our services are advisory in nature and do not constitute legal advice. Clients are responsible for reviewing all outputs and making their own independent professional judgments.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADJURIA, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ADJURIA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8. Governing Law

These Terms and any disputes arising out of or related to them shall be governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
